Terms of Service
These terms are an agreement between you and Prep’d Film LLC (“we,” “us”), which runs Prep’d Film: The Filmmaker’s Hub (the “Service”). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use the Service.
1. Who can use Prep’d Film
You must be at least 5 years old to use the Service. If you’re under 13, a parent or legal guardian must give permission first by sending a photo of their ID, and the account stays locked until it’s approved (see the Privacy Policy). You must be at least 18 (or have a parent or guardian’s permission) to buy a paid plan. Information you give us when you sign up, including your birthday, must be true. Student pricing is for currently enrolled students who confirm a school email and send a student ID showing the current school year, one student account per student ID and per school email, checked once a year, for up to 6 years in total (after 4 years we also ask for proof of enrollment that term); we may end student pricing for any account that shares, duplicates or misuses it. If you use the Service for a company or production, you confirm you’re allowed to accept these terms for it.
2. Your account
- Give accurate information and keep your password private. You’re responsible for what happens under your account.
- One account, one person. Every account and every team seat belongs to one named person with their own email. Sharing a sign-in, or letting someone else use your account or seat, isn’t allowed. Team members and Collab classmates each use their own account.
- Devices: each plan works on a set number of devices (Free 2, Solo 3, Student 2, Studio and Production 3 per person). You can remove a device in Your Hub and add another up to 2 times every 30 days.
- Sharing guard: if an account keeps trying to sign in on more devices than its plan allows, we send a warning. If it keeps happening, the account is locked until you contact us.
- Free plan: one free account per person. Extra free accounts made to get around limits may be closed.
- Tell us right away if you think someone else has accessed your account.
2A. Teams and Collab
- The owner: the person who buys a Studio or Production plan owns the team, pays for all of its seats and controls who is on it. Team members don’t pay for their seats.
- Invites: the owner invites people by email. An invite works only for the email address it was sent to. People without an account create a free one to accept.
- Seats and access: each seat is for one person and includes the owner. The owner chooses which films each member can open and whether they can view or edit each one. View-only guests on Production don’t use a seat.
- Removing people: the owner can remove any member from a film or from the team at any time, and their access ends immediately. A freed seat can be given to a new person once every 30 days.
- Current billing: team access depends on the owner’s plan being paid. If a payment fails or the plan is cancelled, there is a 7-day grace period, then the team’s films become read-only. After 90 days unpaid the team space is locked until the plan is paid again.
- Ownership: films created in a team belong to the owner. Members who leave keep their own account and anything they made outside the team.
- Student Collab: students on the Student plan can invite up to 5 classmates per film. Every collaborator needs their own verified Student account.
3. Plans and payment
- Free plan: free to use within its limits, which are shown on our pricing page and may change.
- Paid subscriptions (when offered): billed in advance, monthly or yearly, and renew automatically at the then-current price until you cancel (see section 4).
- Refunds: see section 4 and our Refund Policy.
- Included products: planners, tools, documents, the Tax Incentive Tracker and Agreement Signer that come with a plan work in your account only while your subscription is paid, plus a 7-day grace period. Monthly plans use included files inside the account. Yearly plans can also download them and keep the copies downloaded during a paid year. Download links expire after 2 minutes. Every download carries your name and email and is licensed only for your own productions; sharing or reselling it breaks these terms.
- Tax Incentive Tracker add-on: a one-time purchase that unlocks the tracker for one film. Award-letter packets you send stay open until you turn them off, even if you cancel.
- Referral rewards: Ambassador stars, Scholar Ambassador free months and similar rewards have no cash value, can’t be transferred, and may be removed if earned with fake or duplicate accounts.
- Activation keys work once, attach to one account and can’t be transferred or resold.
- Price changes: we’ll give you at least 30 days’ notice before a price change affects your subscription, so you can cancel first.
- Taxes: prices may not include sales tax, which will be added where required.
- Changing or ending a plan: if you move to a plan with lower limits, you may need to delete films or devices to fit. We won’t delete your films because of a plan change without warning you first.
4. Renewals, cancellation and refunds
- Automatic renewal: paid subscriptions renew automatically at the end of each billing period (monthly or yearly) and your payment method is charged the then-current price, plus any tax, until you cancel. The price, billing period and renewal terms are shown before you pay, and we email a receipt that explains how to cancel.
- How to cancel: cancel anytime online from your account (Your Hub → Account → Manage plan), or by emailing us. Cancellation takes effect at the end of the period you’ve already paid for, and you keep access until then. Yearly plans: we’ll email you a reminder before each yearly renewal.
- 14-day money-back guarantee: if you’re not happy with a new paid subscription, email us within 14 days of your first payment for a full refund. This applies to your first payment for that plan only, not to renewals. Because included products are digital, the guarantee doesn’t apply once you’ve downloaded included planners, tools or documents, or used an activation key, during that period.
- After 14 days: payments aren’t refundable and we don’t give partial refunds for unused time, except where the law requires otherwise.
- Free plan after cancelling: when a paid plan ends, your account returns to the Free plan. If you have more films or devices than Free allows, they stay saved, but you can’t add new ones until you’re back within the Free limits.
- Failed payments: if a payment fails, we’ll try again and let you know. If it still can’t be collected, your account returns to the Free plan.
- Chargebacks: please contact us before disputing a charge with your bank; we’re quick to fix billing problems. If a charge is disputed, we may pause the account, including its included products, while the dispute is open. Accounts with a dispute decided against them may be closed.
- Customers in the EU and UK: you have a legal right to cancel a digital service within 14 days of purchase. Our 14-day money-back guarantee covers this. By starting to use a paid plan right away, you agree that the service begins immediately.
5. Your content
Everything you put into your films (your notes, budgets, contacts, sketches and images) is yours. You give us permission to store, copy, process and display it only as needed to run the Service for you, such as saving it and syncing it to your devices. You’re responsible for your content, including having the right to store information about the people you log. We recommend downloading backups of important films from time to time (Project → Download backup).
6. Our content
The Service, including the Prep’d Film plans, daily tasks, quotes, templates, designs and software, belongs to us and is protected by copyright and other laws. We give you a personal, non-transferable license to use it for your own productions while you have an account. You may not copy, resell, redistribute, or publish our plans or content, scrape the Service, or use it to build a competing product. “Prep’d Film” is our brand.
7. Acceptable use
Don’t use the Service to break the law, harass anyone, store content you don’t have rights to, upload malware, try to access other people’s accounts or data, get around plan or device limits, or interfere with how the Service runs. We may suspend accounts that do.
8. Not professional advice
Prep’d Film is a planning and organizing tool. Nothing in it is legal, tax, accounting, securities or investment advice. Raising money for a film can involve securities laws. Talk to an entertainment attorney and an accountant before you offer anyone an investment, sign a deal, or take investor money. You’re responsible for your production’s decisions, contracts, budgets and safety.
9. Availability and changes
We work to keep Prep’d Film running and your data safe, but the Service may sometimes be unavailable, and features may change. If we ever shut down the Service, we’ll give you at least 30 days’ notice so you can download your films.
10. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Service will be error-free or uninterrupted, or that any film will be funded, made or successful.
11. Limitation of liability
To the fullest extent the law allows, we won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or $50. Some places don’t allow these limits, so they may not all apply to you.
12. Indemnity
If someone makes a claim against us because of your content or your use of the Service in breach of these terms or the law, you agree to cover our reasonable costs of dealing with it.
13. Ending your account
You can stop using the Service and delete your account at any time in Your Hub → Account, or by emailing us. We may suspend or close accounts that break these terms. When an account is closed, its films are deleted, so download anything you want to keep first.
14. Governing law and disputes
These terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law rules. Before filing any claim, please contact us so we can try to resolve it informally. Any dispute that can’t be resolved will be handled in the state or federal courts located in [COUNTY, STATE], unless the law where you live requires otherwise.
15. Changes to these terms
We may update these terms. If changes are significant, we’ll tell you by email or in the app before they take effect. Continuing to use the Service after that means you accept the new terms.
